In October 2020, company GURUCAD GERMANY GmbH started discussions with company Quast Praezisionstechnik GmbH bankruptcy attorney and signed an Asset Deal contract at 8th of January 2021 through which company GURUCAD GERMANY GmbH bought all intangible assets, all electronical and paper documents and all IT Infrastructure of company Quast Praezisionstechnik GmbH. These assets were transferred to the company GURUCAD GERMANY GmbH on 1st of February 2021.
In detail, following assets were bought by company GURUCAD GERMANY GmbH on 8th of January 2021:
§ 1 Intangible assets
All intangible assets: the company as intangible asset, all company documents and concepts, rights, trademark rights, industrial property rights, patents, inventions, know-how and innovations of every kind and form, manufacturing documents and engineering drawings of over 38800 unique aviation, automotive, port and industrial products, certification documentation in particular for Quality Management Systems EN 9100:2018 and DIN EN ISO 9001:2015, Welding Quality Management Systems DIN EN ISO 3834-2:2006 and EN 1090-2 EXC3, Environmental Management System, web pages (www.quast-technik.de ...), internet domain name (quast-technik.de ...), software products and license rights ... have been sold and transferred to company GURUCAD GERMANY GmbH.
All business books, supplier lists, price lists, accounting and administrative documents, advertising and marketing documents as well as other documents, user data, information and materials related to the economic goods / assets mentioned above were also sold and transferred to the company GURUCAD GERMANY GmbH. The complete archive documents in electronic and paper form were also sold and transferred to the company GURUCAD GERMANY GmbH.
§ 2 Operating equipment, office equipment and technical systems
From the operating equipment, the office equipment and the technical systems, the complete IT Infrastructure including server systems with data backup server, data backup tape system, data backup copies, all IT systems (PC, printers, VPN firewall, routers and switches, telephone systems ...) with all electronic information from these IT Systems including all company electronic data, ERP-System, customers / suppliers data-base, productions manuals / procedures / instructions, past contracts and drawings / 3D-Models / 2D-Drawings, certification documentation and all information about all products (single parts and assemblies), that company Quast Praezisionstechnik GmbH delivered in the past to its customers, were sold and transferred to the company GURUCAD GERMANY GmbH.
Company GURUCAD GERMANY GmbH is able to:
manufacture and deliver all products (single parts and assemblies) that company Quast Praezisionstechnik GmbH delivered in the past to all of its customers,
modify, from engineering and/or manufacturing point of view, all these products and adapt them to new customer’s requirements,
create new products, from engineering and/or manufacturing point of view, based on all previous products from company Quast Praezisionstechnik GmbH to meet new customer’s requirements
